Terms & Conditions

1. Consent to be Bound: This Enterprise Agreement (“Agreement”) between you and PadInMotion, Inc. (“PadInMotion”) governs your use of the PadInMotion software, tablet devices, services, digital content categories and compilations (collectively, “Enterprise Edition”). You hereby agree to abide by the terms of this Agreement for so long as you continue to use the Enterprise Edition. If you are representing an organization and are entering into this Agreement to receive the Enterprise Edition and create an “Enterprise Account” on its behalf, references herein to “you” and “your” shall refer to your organization.
2. Registration and User Account: As part of your registration for use of the Enterprise Edition, PadInMotion may require that you provide certain registration information. By agreeing to the terms of this Agreement, you represent that all information you provide in connection with the creation of your account is truthful and accurate, and you agree to promptly inform PadInMotion of any changes to your information. If you are registering for an Enterprise Account for your organization, then such Enterprise Account is for your organization and its Affiliates (“Affiliates” shall mean any entity who directly or indirectly controls, is controlled by or is under common control with such entity). In order to fully register, you may be required to create a unique username and password, which may be used by you, and only you, to gain access to the Enterprise Edition for as long as you are permitted access. PadInMotion may delete any account if, in its sole discretion, it deems the username to be offensive or inappropriate. You are not to share your username and password with anyone else; as such unauthorized usage of your account by any individual other than yourself may lead to termination of your account and the denial of future access to PadInMotion and the Enterprise Edition. You agree to promptly notify PadInMotion of any unauthorized use of your account, breach of security or improper disclosure of your account information of which you become aware. PadInMotion reserves the right to deny access to or terminate your account at any time if PadInMotion is unable to verify the authenticity of your account information or your compliance with the terms and conditions of this Agreement.
3. Requirements and Restrictions: The PadInMotion tablet devices and platform require WiFi or cellular connectivity and you agree that this shall be provided by your Enterprise. You understand and agree that any use of PadInMotion or the Enterprise Edition for any purpose other than the purpose defined in Section 6 (Scope of Use) is unauthorized and prohibited. If PadInMotion discovers that you or any user of your Enterprise Edition is using the Enterprise Edition for an unauthorized or prohibited use, it has the ability and authority to deactivate the account, forbid future use for an undefined period of time, and the taking of the foregoing actions shall not limit its ability to seek any and all legal and equitable remedies.
4. Electronic Contracting and Communications: You agree that your electronic or other consent to and acceptance of the terms of this Agreement is legally binding. Through your use of the Enterprise Edition, you agree to receive all PadInMotion communications, materials, policies, notices, disclosures and other notifications electronically, even such communications generally required to be in writing.
5. Enterprise Edition Fees; Electronic Payment: There may be fees associated with maintaining an Enterprise Edition
6. Scope of Use: PadInMotion, through its Enterprise Edition, makes available to you, as an organization, one or more pre-provisioned tablet devices that are custom branded for the Enterprise for purposes of compiling, managing and distributing third party products and services, including mobile applications, videos, documents, as well as other digital content for the education, entertainment and health care fields (“Third Party Offerings”). You may use the Enterprise Edition solely to create and manage a custom mobile device patient experience for the purposes of compiling, categorizing, managing, and distributing Third Party Offerings, including internally developed mobile products that PadInMotion supports, to your organization’s employees, agents, members and customers. Each Enterprise Account shall have access to any PadInMotion sample compilations of Third Party Offerings and the ability to create custom design elements within its own environment. If you currently or in the future participate in any other enterprise program offered by a third party (e.g., the iOS Developer Enterprise Program offered by Apple), you agree to comply with all relevant terms and conditions of said third party program. Prior to executing a transaction related to any Third Party Offering, you agree to be bound by any terms and conditions relating to such Third Party Offering. You agree that any Third Party Offering you purchase is a license, not a sale. You agree that your license to use any and all Third Party Offerings acquired through the Enterprise Edition is only permitted on a device for which PadInMotion has authorized for use by your users. By accepting this Agreement, you understand that you are legally bound by the terms of this Agreement and agree to abide by all of the restrictions associated with any licenses you may acquire through the Enterprise Edition. You agree that it is your sole responsibility not to copy, infringe upon, damage, modify, lose, or tamper with any of the Third Party Offerings acquired through the Enterprise Edition, and PadInMotion shall not be responsible or liable in the event that you fail to comply with any of these restrictions. Sole responsibility for the functionality or lack of functionality of any Third Party Offering you acquire remains with the relevant developer or licensor of such Third Party Offering subject to any terms, conditions, limitations and restrictions of the relevant license for such Third Party Offering. You agree that responsibility for any and all technical support, maintenance, upgrades or services with respect to a particular Third Party Offering remains solely with the respective developer or licensor of such Third Party Offering and you shall not seek such technical support regarding Third Party Offerings from PadInMotion. PadInMotion may modify, revise or discontinue any content, feature or service of PadInMotion with or without prior notice. In the future, PadInMotion may choose to offer other services that PadInMotion determines are appropriate, suitable, and desirable. Although PadInMotion will try to provide the most comprehensive services to you as possible, PadInMotion does not guarantee that any one or all of the services, the Enterprise Edition or other PadInMotion products or features will be available to you at any particular time.
7. Enterprise Upload and Distribution: If you wish upload digital content, including but not limited to documents, PDFs, and certain video files to the PadInMotion platform for the purpose of deployment and display to your facility’s patients then you agree that you shall at all times comply with the terms and conditions of this Agreement.
8. Third Party Content; Clinical and Medical Content: PadInMotion, through the Enterprise Edition, will offer products and services of third parties, including Third Party Offerings. The Enterprise Edition may contain hyperlinks, advertisements or content related to third party websites, products (including Third Party Offerings) or services. PadInMotion may offer to provide you and your organization with sample device tiles, categories, subjects, content and compilations of Third Party Offerings for purposes of creating and customizing your Enterprise Edition. PadInMotion may even redirect you automatically to third party websites or services and your usage of such will be governed, pending your acceptance, by their additional terms and conditions or policies, if applicable. You agree that PadInMotion is not responsible, nor shall PadInMotion be liable, for verifying the validity or accuracy of any third party material, content, products (including Third Party Offerings), advertisements, websites, services or other related materials. In addition, PadInMotion does not warrant, will not be responsible for examining or evaluating the accuracy of, and will not have any liability or responsibility for any medical information, research or clinical materials or information provided by any third party material, content, products, advertisements, websites, services or other materials or documentation. Any medical content, services, information, advice or materials of any kind accessed through PadInMotion or the Enterprise Edition is for general information or reference purposes only and shall not be relied upon or replace any professional, clinical or medical advice or judgment provided by a physician or other health care professional. You agree that you will not use any third party materials or any Enterprise Edition in a manner that would infringe upon or violate the rights of any other party and that PadInMotion is not in any way responsible for any such use by you.
9. Inappropriate Content: Through use of the Enterprise Edition, you may encounter material or language that you deem inappropriate, offensive or objectionable, either through PadInMotion, or through hyperlinks, advertisements or content related to third party websites, products, services, including Third Party Offerings, or marketplaces. Due to the nature of the PadInMotion’s specialization in health care, you may encounter material or language pertaining to the human body that may be deemed inappropriate for certain audiences. You understand that the foregoing may occur and your use of PadInMotion and the tablet devices is at your sole risk, and PadInMotion will not be liable to you for any such content.
10. Support and Maintenance: PadInMotion will provide support directly to the Administrator of the Enterprise Edition. You will, at your own expense, be responsible for providing support to your end users regarding issues that pertain to any end user’s access to the Enterprise Edition, including any catalog, set or any internal digital content. You will use commercially reasonable efforts to resolve any such support issues before escalating them to PadInMotion. PadInMotion will conduct maintenance to the Enterprise Edition and its tablet devices on a routine basis at the sole discretion of PadInMotion. PadInMotion will provide you with the latest production of the Enterprise Edition, subsequent to any testing by PadInMotion, as available.
11. Data Security: PadInMotion has implemented certain physical, technical and administrative safeguards designed to prevent accidental loss and unauthorized access to and use of data associated with the Enterprise Edition, including enterprise and user data. However, PadInMotion does not guarantee that unauthorized third parties will be unable to obtain access to data pertaining to the Enterprise Edition, including individual end users, and you acknowledge that all data stored in your Enterprise Edition is done so at your own risk. Further, you, including any end user of your Enterprise Edition, are responsible for ensuring that you have backed up any data in the event of any data loss in your Enterprise Edition. You agree that you will not rely on PadInMotion, the Enterprise Edition or the services as your system of record or designated record set. Therefore, despite the fact that PadInMotion may store data, you shall be solely responsible for complying with all laws relating to the maintenance, storage, access and disclosure of the data.
12. Privacy; Use of Data: PadInMotion’s Privacy Policy is located on the PadInMotion website and is incorporated herein by reference. You agree to allow PadInMotion to collect, store, and use data and other information, including for commercial purposes (provided however, that any data sold to any third party shall be aggregated and blinded), regarding your use of PadInMotion, the Enterprise Edition, and the tablet devices in accordance with and pursuant to PadInMotion’s Privacy Policy. Notwithstanding the foregoing, any individual user data that constitutes Protected Health Information, as defined by HIPAA, shall be treated accordingly. 13. Intellectual Property:
    1. Property of PadInMotion: You understand and agree that PadInMotion owns all right, title, and interest in the intellectual property related to PadInMotion, the Enterprise Edition, and its services, including, without limitation, all trademarks, trade names, copyrights, logos, graphics, software, data and documentation. You agree to assign to PadInMotion any and all rights to any content compilation created by you or any of your individual end users through PadInMotion, the Enterprise Edition, including any and all categories and content, and you acknowledge that your sole and exclusive right to any such content compilation shall be a right to use any such compilation for purposes of your Enterprise Edition. You also agree not to decompile, disassemble, reverse engineer, modify, copy, relicense, resell, rent, transfer, remove or export any software owned by PadInMotion. Unless you receive prior written consent from PadInMotion, you are not permitted to use or reproduce any intellectual property owned by PadInMotion. Your use of the software by way of the Enterprise Edition is through a non-exclusive right to use subject to the terms of this Agreement. Any use other than the intended use is prohibited and may subject you to civil and criminal penalties.
    2. Property of Third Party Offering Developers and Licensors: You understand that PadInMotion may display or use other trademarks, trade names, copyrights, logos, or graphics owned by other copyright holders, for which PadInMotion has attained permission. These displays are for purposes of and related to the provision of the Enterprise Edition. You are not granted any right or license to use any of the aforementioned copyrighted material of third parties by virtue of you having an account with PadInMotion.
14. Feedback: PadInMotion may ask you to provide your thoughts and opinions, including the request to complete one or more surveys and you may submit ideas, suggestions, documents and proposals relating to PadInMotion services (existing and anticipated) to PadInMotion through our support functionality of the devices, administrative console, or any contact form on our Website (called “feedback”). Providing feedback is voluntary and may take many forms. By providing feedback, you acknowledge and agree that: (i) your feedback does not contain any confidential or proprietary information; (ii) PadInMotion is not under any obligation to keep such feedback confidential; (iii) PadInMotion shall be entitled to use or disclose such feedback for any purpose; (iv) PadInMotion may have the same or comparable ideas and plans in development or under consideration prior to any such feedback being provided by you; (v) your feedback automatically becomes the property of PadInMotion without any obligation of PadInMotion to you; (vi) PadInMotion will not pay you for your feedback and we are not obligated to use it nor are we obligated to provide you with a copy of your feedback; (vii) PadInMotion does not want, and you agree not to provide, feedback that violates others’ copyrights or other intellectual property rights; and (viii) you must have all rights necessary to grant the permissions in this section.
15. Permission to List as a PadInMotion Client or Member: You agree that PadInMotion may use your organization’s name, trademark, logo, and testimonials provided by you or other members of your organization in certain materials describing the quality and breadth of PadInMotion and its services. Through your acceptance of this Agreement and your continued use of PadInMotion, you, on behalf of your organization, grant PadInMotion permission, including a right and license to reproduce your organization’s name, trademark, logo, and staff testimonials (if any are given) in printed, electronic (including but not limited to, web pages on the Internet), and audio visual materials for the purposes of listing your organization as a client or customer of PadInMotion, and acknowledge and agree that neither you nor your organization or its staff shall be entitled to any payments, compensation or remuneration of any kind in exchange for granting such permission. You may revoke such permission at any time upon written notice to PadInMotion.
16. Advertisements: PadInMotion disclaims all liability for any advertisements that you, including your Enterprise Edition’s end users, may receive or any actions that you may take or refrain from taking as a result of any advertisement directed to you or the PadInMotion end user or enterprise community at large, from any third party directly or indirectly in connection with or through PadInMotion, the Enterprise Edition, the tablet devices, or any Third Party Offering. It is solely your responsibility for assessing and verifying the identity and trustworthiness of the source and content of any such third party advertisement. PadInMotion assumes no responsibility for verifying, and makes no representations or warranties regarding, the identity or trustworthiness of the source or content of any third party advertisement. In particular, PadInMotion assumes no responsibility and makes no representations or warranties regarding any advertisements related to the provision of health care or medical advice or treatment, including, but not limited to, medical information, medical research, clinical material, prescriptive device or drug information.
17. DISCLAIMER OF WARRANTY; LIMITATION OF LIABILITIES; MEDICAL AND CLINICAL INFORMATION: PADINMOTION DOES NOT WARRANT THAT THE ENTERPRISE EDITION AND ITS SERVICES WILL BE UNINTERRUPTED OR FREE FROM SECURITY BREACHES, ERRORS, DATA LOSS, AND OTHER TECHNICAL COMPLICATIONS. PADINMOTION DOES NOT WARRANT THAT THE THIRD PARTY OFFERINGS WILL OPERATE UNINTERRUPTED OR ERROR FREE, OR WILL NOT INFRINGE UPON THE RIGHTS OF ANY PARTY. PADINMOTION DOES NOT WARRANT THAT THE USER CONTENT IS TRUTHFUL, ACCURATE, COMPLETE, OR APPROPRIATE, OR WILL NOT INFRINGE UPON THE RIGHTS OF ANY PARTY. YOU UNDERSTAND THAT WHILE PADINMOTION WILL TAKE ALL REASONABLE NECESSARY PRECAUTIONS TO PROTECT YOUR ENTERPRISE DATA, IT WILL NOT BE LIABLE FOR ANY UNFORESEEABLE SECURITY BREACH THAT MAY LEAD TO THE UNAUTHORIZED ACCESS OF YOUR INFORMATION. USE OF PADINMOTION, THE ENTERPRISE EDITION, THE SERVICES, ALL THIRD PARTY OFFERINGS, AND USER CONTENT ARE AT YOUR SOLE RISK, AS THEY ARE MADE AVAILABLE TO YOU “AS IS” AND “AS AVAILABLE”, WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL PADINMOTION BE LIABLE TO YOU FOR ANY INJURY OR DAMAGE, PHYSICAL OR MONETARY, IN RELATION TO YOUR USE OR INABILITY TO USE THE ENTERPRISE EDITION OR THE SERVICES OR YOUR USE OR RELIANCE UPON ANY USER CONTENT, OR ANY THIRD PARTY OFFERING ACQUIRED THROUGH PADINMOTION, REGARDLESS OF THE THEORY OF LIABILITY. ANY MONETARY LOSS RESULTING FROM YOUR RELIANCE UPON INFORMATION OR DATA RECEIVED AS PART OF THE ENTERPRISE EDITION OR THROUGH A THIRD PARTY OFFERING IS STRICTLY YOUR SOLE RISK, RESPONSIBILITY AND LIABILITY. IN PARTICULAR, ANY PERSONAL INJURY OR DEATH RESULTING FROM THE RELIANCE ON MEDICAL OR CLINICAL INFORMATION ATTAINED THROUGH A THIRD PARTY OFFERING ACQUIRED BY WAY OF PADINMOTION IS SOLELY YOUR RISK, RESPONSIBILITY AND LIABILITY. PADINMOTION DOES NOT WARRANT AS TO THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY MEDICAL INFORMATION, ANY RESEARCH AND CLINICAL MATERIAL, INCLUDING USER CONTENT PUBLISHED OR MADE AVAILABLE FOR INFORMATIONAL PURPOSES THROUGH THE ENTERPRISE EDITION. YOU ARE ENCOURAGED AND ADVISED TO CONFIRM THE INFORMATION WITH OTHER SOURCES. ANY AND ALL MEDICAL OR CLINICAL INFORMATION RECEIVED, ACQUIRED OR DELIVERED THROUGH THE ENTERPRISE EDITION, A THIRD PARTY OFFERING OR PADINMOTION IN GENERAL, IS NOT INTENDED AS A REPLACEMENT OR SUBSTITUTE OF YOUR MEDICAL OR CLINICAL JUDGMENT OR THAT OF A PHYSICIAN OR OTHER HEALTH CARE PROVIDER. YOU AGREE THAT IN NO EVENT SHALL PADINMOTION BE LIABLE TO YOU OR YOUR ORGANIZATION FOR ANY DAMAGES RELATED TO OR ARISING FROM YOUR USE OF THE ENTERPRISE EDITION, THE SERVICES OR THIRD PARTY OFFERINGS.
18. INDEMNITY AND WAIVER: YOU AGREE, THROUGH YOUR USE OF PADINMOTION, THE ENTERPRISE EDITION, AND THE SERVICES, TO HOLD HARMLESS, INDEMNIFY AND DEFEND PADINMOTION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, FROM AND AGAINST ANY AND ALL CLAIMS OR DEMANDS, MADE BY ANY THIRD PARTY DUE TO OR ARISING DIRECTLY OR INDIRECTLY OUT OF YOUR CONDUCT OR IN CONNECTION WITH YOUR USE OF PADINMOTION, THE ENTERPRISE EDITION, THE SERVICES OR ANY THIRD PARTY OFFERING OR ANY THIRD PARTY ADVERTISEMENT OR USER CONTENT, ANY ALLEGED VIOLATION OR BREACH OF THIS AGREEMENT, OR ANY ALLEGED VIOLATION OF ANY APPLICABLE LAW OR REGULATION. YOU ACKNOWLEDGE AND AGREE THAT YOU CANNOT SUE OR RECOVER ANY DAMAGES FROM PADINMOTION OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS AS A RESULT OF THE DENIAL TO PROCESS ANY INFORMATION OR TRANSACTION, SUSPENSION OR TERMINATION OF YOUR ACCOUNT OR ACCESS TO THE ENTERPRISE EDITION, OR ANY ACTION TAKEN UPON AN ALLEGED VIOLATION, WITH OR WITHOUT PROVIDING NOTIFICATION TO YOU.
19. Compliance with Law: Your use of PadInMotion, the Enterprise Edition, and any Third Party Offering acquired through PadInMotion and your acceptance of the terms of this Agreement, constitutes your agreement to comply with all relevant federal, state, local, and international laws, as applicable.
20. Entire Agreement: This Agreement (including the Privacy Policy and Price Quotation) and any and all other applicable separate agreements reflect the entire agreement between your organization and PadInMotion regarding the subject matter hereof, and supersedes all prior agreements between the parties, whether written (including electronic) or oral.
21. Force Majeure: PadInMotion shall not be responsible for delays or failures in performance resulting from acts beyond its reasonable control. The existence of such causes shall justify extension of the time of performance to the extent reasonably necessary to enable PadInMotion to satisfy its obligation hereunder after the cause of delay or failure has been removed.
22. Governing Law: Your use of PadInMotion and the Enterprise Edition shall be governed in all respects by the laws of the State of New Jersey, without giving effect to the conflict of law principles thereof, and venue shall be proper only in a court of competent jurisdiction located in the State of New York in New York County. You agree to be subject to personal jurisdiction in and consent to the service of process issued by a court in which venue is proper as defined in this Section. Your use of any Third Party Offerings, websites or services may also be subject to other local, state, national, or international laws.
23. Assignment: PadInMotion may assign, license or subcontract any of its rights and/or responsibilities under this Agreement at any time. You may not assign, license, transfer or subcontract any of your rights or obligations under this Agreement without PadInMotion’s express written consent.

Privacy Policy

PadInMotion, Inc. (“PadInMotion”) is committed to protecting your privacy online and keeping you informed of your online rights. Please read the following information carefully and check back periodically as this information may change. This Privacy Policy (“Policy”) applies to the software, tablet devices, services and products of PadInMotion (collectively, “PadInMotion Products and Services”). Third party websites, applications and services you may access via PadInMotion Products and Services are not subject to this Policy and may have their own privacy policies. We recommend that you read the privacy policy or notice of any such third party website, application or service to find out how they protect and/or handle your personal information.

What Information PadInMotion Collects:

1. Information you provide PadInMotion directly: While you may access PadInMotion Products and Services without providing personal information, in order to fully utilize all of the functionalities and other content of PadInMotion’s Products and Services, you may be obligated to register for an account in which PadInMotion will require certain personal information. Such personal information required or requested for registration may include, but shall not be limited to: name; gender; birth date; physical and electronic address(es); telephone number(s); occupation or specialty; mobile device(s) owned and/or being used to access PadInMotion Products and Services; PadInMotion user name and password. PadInMotion collects and may use your submissions, software and tablet device usage, your search queries, preferences, downloads and purchases attempted or made.
2. Information PadInMotion collects automatically through your usage: PadInMotion may have and utilize capabilities to automatically collect certain information about you through your navigation and use of PadInMotion Products and Services. This type of information includes your browsing activity and behavior, such as other websites you visit and advertisements you exhibit interest in, as well as cookies and other technologies. Information about your device may also be collected automatically.
3. Information PadInMotion collects through other means: PadInMotion may have certain relationships with third parties such as advertisers, marketing groups, online social networks, device manufacturers or product developers which are featured through PadInMotion Products and Services, from which PadInMotion may obtain information about you. PadInMotion may also collect data through your use of third party products acquired from PadInMotion. The information collected through such means may include location, demographic, and other personal information about you.

How PadInMotion Uses the Information: PadInMotion may use your personal information to fulfill requests you make regarding our services, programs, products and offerings, and to offer you other services, programs, products and offerings that PadInMotion has reason to believe may be of interest to you. PadInMotion may also use your personal information to communicate with you about your account, your usage, any user submissions you generate, including product reviews, survey responses, forum posts or other content. PadInMotion may use your personal information to notify you by mail (physical or electronic) of special offers, modifications to any agreements you are a party to, and any related newsletters. PadInMotion may also utilize your personal information to enforce and/or convey legal terms and notifications pertaining to PadInMotion and your usage.

Information Sharing and Disclosure: In the event that PadInMotion needs or chooses to share your personal information with a third party, PadInMotion will take any and all reasonably necessary steps to ensure that it does so safely and securely. PadInMotion may share your personal information with trusted partners in order to provide you with the services of PadInMotion, or effectively share offers with you from PadInMotion or one of our trusted partners, but only those with which PadInMotion has executed confidentiality agreements. PadInMotion may collect, use and sell your personal information to third parties other than trusted partners on an aggregated and blinded basis only. The sharing of your personal data required for any transaction you attempt will be done securely, only with the third parties necessary to execute the transaction, and PadInMotion will request that such third parties treat your personal information appropriately. PadInMotion may also share your information if required by law or to respond to a legal request. In the event that PadInMotion’s corporate ownership structure should change, your personal information may be transferred to a successor organization, or subject to different terms. Any individual that PadInMotion authorizes to have access to, or control of, your personal information shall be required to protect it in a manner consistent with this Policy and said individual does not have the permission to use your information in any manner which is inconsistent with this Policy or outside the scope of the role PadInMotion intended for them.

Security of Personal Information: PadInMotion utilizes physical, electronic and administrative procedures to safeguard your personal information. PadInMotion uses a secured server behind a firewall to protect your stored account information and incorporates Secure Sockets Layer (SSL) for encryption purposes to protect your personal information during your online experience through PadInMotion’s website and application. Safeguards are also implemented for protection of your personal information at PadInMotion’s facilities. Access to your information is limited to employees, agents, and contractors with specific access and who are required to properly handle and protect such information. While PadInMotion cannot guarantee total security of your personal information, it can assure you that it implements safety measures which are standard in the mobile industry.

Accessing and Updating Your Personal Information: PadInMotion maintains the personal information which is identifiable to you. At your request, you may have access to this information for your review and modification.
